Acceptance of Terms

By downloading, accessing or using Sync ("Service"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

You’re not allowed to copy, or modify the app, any part of the app, or our trademarks in any way. You’re not allowed to attempt to extract the source code of the app, and you also should not try to translate the app into other languages, or make derivative versions. The app itself, and all the trade marks, copyright, database rights and other intellectual property rights related to it, still belong to Miciniti Technologies Limited.

Description of Service

Sync provides cloud-based file synchronization, storage, and backup services. We may modify, suspend, or discontinue any aspect of the Service at any time, including availability of features or content.

Our Commitment

We are commited to ensuring that the app is as useful and efficient as possible. For that reason, we reserve the right to make changes to the app or to charge for its services, at any time and for any reason. We will never charge you for the app or its services without making it very clear to you exactly what you’re paying for.

Data Protection

The Sync app may store and process device identifying data that you have provided to us, in order to provide our Service. It’s your responsibility to keep your device and access to the app secure. We therefore recommend that you do not jailbreak or root your phone, which is the process of removing software restrictions and limitations imposed by the official operating system of your device. It could make your device vulnerable to malware/viruses/malicious programs, compromise your device's security features and it could mean that the Sync app app won’t work properly or at all.

Third Parties

The app uses the following third party services that declare their own Terms and Conditions.

• FirebaseCrashlytics

Acceptable Use Policy

You agree NOT to:

• Violate intellectual property rights of others
• Distribute malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Use the Service for illegal activities
• Interfere with or disrupt the Service
• Resell or redistribute our Service without permission
• Use automated systems to access the Service excessively

Content and Intellectual Property

You retain ownership of all content you upload to Sync. By uploading content, you grant us a license transmit your content as necessary to provide the Service. We do not claim ownership of your content.

All intellectual property rights in the Service, including software, text, graphics, and trademarks, are owned by or licensed to Sync.

Data Backup and Loss

While we implement robust backup systems, we recommend maintaining your own backup copies of important data. We are not liable for any data loss resulting from Service failures, user error, or third-party actions.

Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance that temporarily affects availability. We are not liable for downtime or service interruptions.

Limitation of Liability

To the maximum extent permitted by law, Sync shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Indemnification

You agree to indemnify and hold Sync harmless from any claims, damages, losses, and expenses arising from your use of the Service, violation of these terms, or infringement of any third-party rights.

Service Updates

At some point, we may wish to update the app. The app is currently available on Android, iOS, macOS and Windows 10 – the requirements for system(and for any additional systems we decide to extend the availability of the app to) may change, and you’ll need to download the updates if you want to keep using the app.

Miciniti does not promise that it will always update the app so that it is relevant to you and/or works with the OS version that you have installed on your device. However, you promise to always accept updates to the application when offered to you.

Termination

We may suspend or terminate your account at any time for violation of these terms or for any other reason. Upon termination, your right to use the Service immediately ceases, and we may delete your account and content.

We may also wish to stop providing the service, and may terminate use of it at any time without giving notice of termination to you. Unless we tell you otherwise, upon any termination, (a) the rights and licenses granted to you in these terms will end; (b) you must stop using the app, and (if needed) delete it from your device.

Dispute Resolution

Any disputes arising from these terms or your use of the Service shall be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by law.

Governing Law

These terms are governed by the laws of the jurisdiction in which Sync operates, without regard to conflict of law principles.

Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes via email or through the Service. Continued use after changes constitutes acceptance of the modified terms.
